Waze Maps API Terms and Conditions

Waze Maps API allows you to include maps and additional layers of content in web and/or mobile applications.

READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE WAZE MAPS API. BY CLICKING THE CHECKBOX MARKED WITH 'I HAVE READ AND AGREED TO THE TERMS AND CONDITIONS' IN THE REGISTER FORM, YOU (EITHER INDIVIDUALLY OR ON BEHALF OF THE ENTITY OR COMPANY THAT YOU REPRESENT) ARE ACCEPTING AND AGREEING TO BE UNCONDITIONALLY BOUND BY THE TERMS HEREOF. YOUR CONTINUED USE OF THE WAZE MAPS API SHALL ALSO CONSTITUTE ASSENT TO THE TERMS HEREOF. IF YOU DO NOT UNCONDITIONALLY AGREE TO ALL OF THESE TERMS AND CONDITIONS, YOU ARE NOT AUTHORIZED TO USE THE WAZE MAPS API.

  1. Grant of License. Subject to these Terms and Conditions, Waze Mobile Ltd. ("Waze") gives you a limited, personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the Waze Maps API (the "Maps API" or the "Service") as provided by Waze in order to obtain and display any content freely provided through the Service (the "Content") in your web and/or mobile applications (the "Your Maps Application"), as the Content is provided in the Service, and in the manner permitted and/or limited by the Terms and Conditions. Your use of the Maps API and Content is also subject to the General Terms of Use, the Copyright Policy and the Waze Privacy Policy, as updated from time to time (the "Waze General Terms of Use").
  2. Establishing Your Waze Account.
    1. Signing Up for a Waze Account. In order to access the Service, you must have a Waze Account. You agree that any information you give to Waze in connection with your Waze Account or your continued use of the Service will always be accurate, correct and up to date.
    2. Account Key. After supplying Waze with your account information and the URL of Your Maps Application, and accepting these Terms and Conditions, you will be issued an alphanumeric key assigned to you by Waze that is uniquely associated with your Waze Account and the URL of Your Maps Application. Your Maps Application must import the Waze Maps API using this key as described in the Maps APIs Documentation , and Waze will block requests with an invalid key or invalid URL. You may only obtain and use a key in accordance with these Terms and Conditions and the Maps API Documentation. If you become aware of any unauthorized use of your password, your account, or your key, you agree to notify Waze immediately.
  3. Permitted Uses. You agree to use the Service only for purposes: (a) that are permitted by the Terms and Conditions and within the scope of the license granted herein; (b) that are permitted by any applicable law or regulation including privacy laws, (c) that do not violate third party rights and agreements; and (d) that comply with all applicable policies or guidelines made available by Waze and its licensors.
  4. Your Responsibilities. The grant of the above licenses is subject to your adherence to the following requirements:
    1. Free, Public Accessibility to Your Maps Application. Your Maps Application must be generally accessible to users without charge and therefore must not: (a) require a fee-based subscription or other fee-based restricted access; or (b) operate only behind a firewall or only on an internal network (except during the development and testing phase).
    2. End User Terms of Use. You must explicitly state in Your Maps Application's terms of use that, by using Your Maps Application, your users are agreeing to be bound by the Waze General Terms of Use. You must protect the privacy and legal rights of your users and you should not provide Waze with any personally identifying information or non-personally identifying usage information of your users.
    3. Copyright Notices; Trademarks.
  1. The Content may contain trade names, trademarks or logos of Waze and its partners. You must not remove, obscure, or alter any trade names, trademarks or logos that may be affixed to or provided through the Service, or any proprietary rights notices (including copyright and trademark notices) that may be affixed to or provided through the Service and where such notices are not affixed within the Service, you must display such notices according to the Maps API Documentation.
  2. You must display the trade names, trademarks and logo of Waze strictly in accordance with the published policies and directions of Waze. You may not display such trade names, trademarks and logo in any manner that implies a relationship or affiliation with, sponsorship, or endorsement by Waze, other than your use of the Service.
  3. Except as set forth in this Section, nothing in the Terms and Conditions will grant or will be deemed to grant you any right, title or interest in or to the trade names, trademarks or logos of Waze and its partners.
    1. Responsibility for Breaches. You agree that you are solely responsible for (and that Waze has no responsibility to you or to any third party for) any breach of your obligations under the Terms and Conditions and for the consequences (including any loss or damage which Waze may suffer) of any such breach.
    1. Provision of Your Content. In the event that you provide in Your Maps Application any content (excluding the Content) that is proprietary to you or your licensors ("Your Content") or if you otherwise post or display Your Content in the Service, then you hereby give Waze a perpetual, irrevocable, worldwide, royalty-free and non-exclusive license to reproduce, adapt, modify, translate, publicly perform, publicly display and distribute Your Content through its service, subject to the Waze General Terms of Use. You shall not provide to Waze Your Content unless you own such content or has sufficient license to use in accordance with the terms hereof. You confirm and warrant to Waze that you have all the rights, power and authority necessary to grant the above licenses.
  1. Restrictions of Use. Other than the rights expressly licensed to you hereunder, no other rights or interest whatsoever in the Service or Content are transferred or granted to you. Without limiting the foregoing, you may not:
  1. access or use the Service or any Content through any technology or means other than those provided in the Service, or through other explicitly authorized means Waze may designate;
  1. copy, translate, modify, create a derivative work of, or publicly display any Content or any part thereof (for example, you may not stitch multiple static map images together to display a map that is larger than permitted in the Maps API Documentation );
  2. use the Service or the Content for any commercial use, unless you have entered into written agreement with Waze to that effect;
  3. reverse engineer, decompile or otherwise attempt to extract the source code of the Service or any part thereof, unless this is expressly permitted or required by applicable law;
  4. use the Service or Content with any products, systems, or applications for or in connection with: (a) real time navigation or route guidance, including but not limited to turn-by-turn route guidance that is synchronized to the position of a user's sensor-enabled device; (b) any systems or functions for automatic or autonomous control of vehicle behavior; or (c) dispatch, fleet management, business asset tracking, or similar enterprise applications.
  5. offer a batch geocoding service that uses Content contained in any Waze Services.
  1. Changes by Waze.
    1. Changes to the Terms and Conditions. Waze reserves the right to make changes to these Terms and Conditions from time to time. When these changes are made, Waze will make a new copy of the Terms and Conditions available at http://www.waze.com/dev/terms. You understand and agree that if you use the Service after the date on which the Terms and Conditions have changed, Waze will treat your use as acceptance of the updated Terms and Conditions. If a modification is unacceptable to you, you may terminate the agreement by ceasing use of the Maps API. For further guidance regarding use of the Content, please see the Maps API Documentation and our thechnical FAQ. In the event of any contradiction between these Terms and Conditions (as updated from time to time) and the Maps API Documentation or FAQs, these Terms and Conditions will prevail and control.
    2. Limits on Your Use of the Service. You acknowledge and agree that Waze may impose or adjust the limit on the number of transactions you may send or receive through the Service; such fixed upper limits may be set by Waze at any time, at the discretion of Waze.
    3. Advertising. Waze reserves the right to include advertising in the maps images and other Content provided to you through the Service, and you shall not be entitled to any revenues or payment in connection therewith.
    4. Experimental Services. Waze is constantly innovating in order to provide the best possible experience for its users. At any time prior to discontinuing the current version of the Service or upgrading to a new version of the Service, Waze may, in its discretion as part of this continuing innovation, include certain experimental features or functionality of the Service. You understand that such experimental features and functionality are not error free.
  1. The Proprietary Rights of Waze and its Partners. All title and intellectual property rights in and to the Service and Content are the property of Waze and/or its licensors and partners (whether those rights happen to be registered or not, and wherever in the world those rights may exist) and may be protected by applicable copyright or other intellectual property laws and treaties.
  2. Term and Termination.
    1. These Terms and Conditions will continue to apply until terminated by either you or Waze as set forth below.
    2. You may terminate your legal agreement with Waze by discontinuing your use of the Service at any time, and removing the Maps API code from Your Maps Application. You do not need to specifically inform Waze when you stop using the Service.
    3. Waze in its discretion may cease providing the current version of the Service by upgrading the Service to a newer version. In addition, Waze in its discretion may cease providing the Service through discontinuation of the Service, in which case Waze shall include a notice of discontinuation in its website at least three (3) months before the planned cessation of Service (subject to Section 7.4 below).
    4. Waze may, at any time, terminate its legal agreement with you or cease providing all or any part of the Service immediately without any notice if: (a) you have breached any provision of the Terms and Conditions (as determined by Waze); (b) Waze is required to do so by law; (c) the Service relies on data or services provided by a third party and the relationship with such partner has expired or been terminated or requires Waze to change the way Waze provides the data or services through the Service; (d) providing the Service could create a substantial economic burden as determined by Waze in its reasonable good faith judgment; (e) providing the Service could create a security risk or material technical burden as determined by Waze in its reasonable good faith judgment; (f) your use of the Service or the displaying of the trade names, trademarks or logo of Waze in your website or mobile application (even if made pursuant to the terms hereof) may disparage Waze, its Service, its Content or any partner, supplier or licensor of Waze, as determined by Waze in its reasonable good faith judgment.
    5. Those Terms and Conditions that by their terms and/or nature are intended to continue indefinitely will continue to apply following termination of this legal agreement, including but not limited to: Sections 4 ( Your Responsibilities ), 7 ( The Proprietary Rights of Waze and its Partners ); 8 ( Term and Termination ); 10 ( Limited Warranty and Disclaimer ); 11 ( Limitation of Liability ); 12 ( Indemnity ) and 14 (Miscellaneous).
  3. HIGH RISK ACTIVITIES. YOU ACKNOWLEDGE THAT THE SERVICE IS NOT FAULT TOLERANT AND IS NOT DESIGNED, MANUFACTURED, OR INTENDED FOR USE AS ON-LINE CONTROL EQUIPMENT IN HAZARDOUS OR HIGH RISK ENVIRONMENTS AND ACTIVITIES REQUIRING FAIL-SAFE PERFORMANCE, AND YOU AGREE NOT TO USE OR ALLOW THE USE OF THE SERVICE OR THE CONTENT FOR, OR IN CONNECTION WITH, ANY SUCH ENVIRONMENT OR ACTIVITY.
  4. LIMITED WARRANTY AND DISCLAIMER. THE SERVICE AND CONTENT ARE PROVIDED "AS IS". WAZE DOES NOT WARRANT THAT THE SERVICE OR CONTENT IS ERROR-FREE. WAZE PROVIDES NO GUARANTEE THAT THE SERVICE OR CONTENT IS ACCURATE AND RELIABLE. ADDITIONALLY, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAZE DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, ACCURACY, RELIABILITY AND NON-INFRINGEMENT. WAZE DOES NOT MAKE AND THESE TERMS AND CONDITIONS DO NOT PASS TO YOU IN ANY WAY ANY REPRESENTATION, WARRANTY OR UNDERTAKING ON BEHALF OF THE SUPPLIERS OR LICENSORS OR WAZE. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF YOUR LEGAL AGREEMENT WITH WAZE.
  5. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW WAZW WILL NOT BE LIABLE TOWARDS YOU OR YOUR USERS UNDER ANY LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT OR CONTRACT) FOR ANY DAMAGES WHATSOEVER, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST DATA OR LOST PROFITS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  6. Indemnity. You hereby agree to indemnify, defend and hold Waze, its partners, officers, directors, agents, affiliates, licensors and their suppliers (the " Indemnified Parties ") harmless from and against any claim or liability arising out of: (a) your use of the Maps API in breach of these Terms and Conditions, the Waze General Terms of Use or other applicable policies; (b) Your Maps Application, any use by users of Your Maps Application or any claim that Your Maps Application or Your Content violates any applicable law, including but not limited to any claim that Your Maps Application infringes the rights of a third party. Waze reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you in which case You will cooperate as fully as reasonably required in the defense of any claim. You acknowledge that damages for improper use of the Maps API may be irreparable; therefore, Waze is entitled to seek equitable relief, including but not limited to preliminary injunction and injunction, in addition to all other remedies.
  7. Third Party Content. You acknowledge that the Service may include hyperlinks to other websites or resources (and that Waze does not endorse any advertising, products or other materials on or available from such websites or resources) and that the Content (or portions thereof) may be provided to Waze by third parties including the Waze community. You agree that Waze has no responsibility whatsoever for such third party's website, resources or content (including its availability, completeness or accuracy).
  8. Miscellaneous. The Terms and Conditions constitute the whole legal agreement between you and Waze and govern your use of the Service and Content, and completely replace and supersede any prior agreements between you and Waze, written or oral, in relation to the Service and Content. If any provision of the Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. The failure of Waze to act with respect to a breach of this Agreement by you or others does not constitute a waiver and shall not limit the rights of Waze with respect to such breach or any subsequent breaches. This legal agreement is personal to you and may not be assigned or transferred for any reason whatsoever without the consent of Waze and any action or conduct in violation of the foregoing shall be void and without effect. Waze expressly reserves the right to assign this legal agreement and to delegate any of its obligations hereunder. These Terms and Conditions are governed by and construed under the laws of the State of California as such law applies to agreements between California residents entered into and to be performed within California. Unless otherwise elected by Waze in writing for a particular instance (which Waze may do at its option), the sole jurisdiction and venue for actions related to the subject matter hereof shall be the state and U.S. federal courts in Santa Clara County, California. You hereby agree to service of process in accordance with the rules of such courts. Notwithstanding this, you agree that Waze will be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction. You agree that Waze may provide you with notices, including those regarding changes to the Terms and Conditions, by email, regular mail, or postings on the Service.
